Terms of Service

1. Binding Agreement and Preamble

These Terms of Service ("Terms") constitute a legally binding, exhaustive agreement between you, either individually or on behalf of the corporate entity you represent ("User", "you", "your"), and Bizraa Technologies Limited, a company registered under the laws of the Federal Republic of Nigeria ("Bizraa", "we", "us", "our").

By accessing, downloading, integrating with, or utilizing our Point of Sale (POS) applications (Desktop, Mobile, or Web), marketplace platforms, or APIs (collectively, the "Services"), you unequivocally acknowledge that you have read, comprehended, and agree to be bound by these Terms. If you do not agree, you must immediately cease all use of the Services.

2. End-User License Agreement (EULA) \u0026 Ecosystem Access

Bizraa grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and utilize the Bizraa Desktop and Mobile applications strictly for their stated commercial intent.

• Offline Functionality: Our POS applications are capable of functioning offline. However, Bizraa accepts ZERO liability for data loss originating from local hardware damage, operational malfeasance, or software corruption that occurs prior to a successful cryptographic sync to our cloud infrastructure.
• Corporate Warranty: You bear total responsibility for the security of your hardware and authorization of employees ("sub-users") acting under your corporate account.

3. Artificial Intelligence \u0026 Service Disclaimers

Bizraa incorporates advanced Artificial Intelligence, including a business-focused AI Assistant and Product Recognition technologies. You agree and explicitly understand that:

• "As-Is" Provision: AI-generated insights, categorizations, and product recognitions are provided on an "as-is" basis and are subject to probabilistic error.
• No Professional Liability: The AI Assistant's outputs do NOT constitute certified financial, legal, or tax advisory services. You must independently verify all AI-generated pricing strategies, legal interpretations, and inventory categorizations before acting upon them.

4. Marketplace Dynamics \u0026 Merchant Obligations

The Bizraa Marketplace operates as a neutral digital aggregator connecting merchants with consumers.

• Intermediary Status: Bizraa is NOT the seller of record for any transaction on the Marketplace. We do not manufacture, possess, or guarantee the quality, legality, or safety of any goods listed by third-party merchants.
• Merchant Liability: Merchants utilizing the Marketplace bear absolute liability for consumer protection compliance, accurate product descriptions, return processing, and applicable tax remittances. Listing prohibited, illegal, or fraudulent items will result in immediate termination of all ecosystem services and aggressive cooperation with law enforcement.

5. Intellectual Property Rights

The Services, encompassing all underlying source code, AI algorithms, proprietary databases, UI/UX designs, trademarks, logos, and business processes are the exclusive intellectual property of Bizraa Technologies Limited. Reverse engineering, unwarranted scraping, or replication of our core intellectual property is strictly prohibited and subject to aggressive litigation.

6. Limitation of Liability and Indemnification

Please read this section carefully.

To the maximum extent permitted by applicable law, Bizraa Technologies Limited, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to catastrophic financial loss, operational paralysis, data corruption, or reputational damage arising from your utilization or inability to utilize our ecosystem applications.

You agree to wholly indemnify and hold harmless Bizraa against any claims, damages, liabilities, and legal fees driven by your breach of these Terms or infringement of third-party rights, including marketplace consumer disputes.

7. Governing Law

These Terms shall be exclusively governed by the laws of the Federal Republic of Nigeria. Any corporate dispute arising from these Terms shall be resolved via binding, confidential arbitration held in Lagos, Nigeria.
